1. Contracting party
BayLedger is operated and supplied by Magoffin Development Solutions Inc., 46 Conestoga Rd, Woodstock, ON N4T 1S4, Canada. GST/HST registration: 781499082RT0001. By creating an account, subscribing, or using BayLedger, the customer agrees to these terms.
2. The service
BayLedger provides organization-based business software for small automotive service shops to manage staff access, customers, vehicles, products and services, quotes, invoices, manually recorded payments, shop settings, and related communications. It does not currently provide scheduling, purchasing, inspections, VIN decoding, accounting integrations, or online payment processing for a shop’s customers.
Features may change as the service develops. There is currently no service-level agreement or guaranteed uptime, response time, delivery time, or data-recovery time.
3. Accounts and organization authority
Users must provide accurate account information, protect their credentials, use individual accounts rather than shared logins, and promptly report suspected unauthorized access. Organization owners and administrators are responsible for inviting appropriate staff, assigning suitable roles, removing access when it is no longer needed, and ensuring at least one authorized owner remains available.
A person creating or administering an organization represents that they have authority to act for that business and to instruct BayLedger regarding its records.
4. Shop data and customer responsibilities
The shop remains responsible for the lawfulness, accuracy, quality, and use of information it enters, including obtaining any notices, consents, or other authority required to store customer and vehicle information and send documents by email. The shop grants the service operator the limited permission needed to host, process, back up, display, and transmit that information to provide and secure BayLedger.
The shop must review quotes, invoices, tax settings, payment records, customer addresses, email recipients, and public links before relying on or sending them. Users must not enter complete payment-card numbers, passwords, government identity documents, health information, or unrelated sensitive information in free-text notes.
5. No professional advice
BayLedger is business workflow software. It is not accounting, bookkeeping, tax, legal, regulatory, automotive, or other professional advice. Tax rates and payment information are configured or recorded by the shop. BayLedger does not determine whether a charge, invoice, tax treatment, record-retention practice, or customer communication complies with law or professional obligations.
6. Acceptable use
Users must follow the Acceptable use policy. Access may be restricted or suspended when reasonably necessary to address a security threat, unlawful use, serious abuse, provider requirement, or material risk to other organizations or the service. BayLedger will provide notice when reasonably practical and lawful to do so.
7. Pricing and subscription billing
The plan is $30 CAD per month for up to three active organization users, plus $10 CAD per month for each additional active user. Prices exclude applicable taxes. Canadian GST/HST is calculated from the subscription billing address using the rates applicable to that province or territory.
New organizations receive a seven-day application trial without providing a payment method. The trial begins when the organization is created, does not automatically create a Stripe subscription, and does not automatically charge the customer. An owner must deliberately complete Stripe Checkout to begin paid monthly service. When a trial expires without an active subscription, normal shop work may be restricted while the owner retains billing, export, and support access.
Paid subscriptions will renew automatically each month until canceled. Base-plan and active-seat fees are billed in advance through Stripe. The first three active memberships are included. Additional-seat quantity is updated without mid-cycle proration and is charged on the next renewal; a temporary additional membership deactivated before renewal is not charged for that partial month. A verified organization owner is responsible for maintaining an accurate billing address, authorized payment method, and active-user list.
If a renewal payment fails, BayLedger may provide a seven-day grace period. During grace, organization access may be limited to reading existing records while owners retain billing, export, and support access. Continued non-payment may restrict normal staff access without deleting organization data. Public quote and invoice links remain subject to their own access tokens and are not automatically disabled by subscription status.
Stripe-hosted subscription checkout and billing management are live. BayLedger confirms subscription state through signed events and freshly retrieved provider information rather than trusting browser-return parameters. Subscription access is applied separately to each organization under the grace and recovery rules above; one organization’s billing state does not disable a user’s other organizations.
8. Third-party services
BayLedger relies on hosting, internet, DNS, certificate, email, and subscription-billing providers, currently including DigitalOcean, Rebel, Let’s Encrypt, and Stripe. Their interruption or failure can affect the service. Stripe-hosted billing is for the organization’s BayLedger subscription only; it does not process payments on quotes or invoices a shop sends to its customers. BayLedger stores no complete payment-card details.
Email delivery is not guaranteed: a message marked sent means the configured mail service accepted the delivery attempt, not that the recipient read or ultimately received it.
9. Ownership and feedback
Each shop retains its rights in information it supplies. The BayLedger application, branding, and service materials remain the property of their respective owner. During an active subscription, BayLedger grants authorized users a limited, non-exclusive, non-transferable right to use the service for the subscribing organization’s internal business operations. Voluntary feedback may be used to improve the service without transferring ownership of shop data.
10. Cancellation, export, and deletion
Subscription cancellation is an assisted owner process; the Stripe-hosted billing portal does not offer cancellation or seat changes. Cancellation takes effect at the end of the current paid monthly billing period. Except where required by law or expressly approved by BayLedger, monthly fees and taxes already charged are not prorated or refunded. A cancellation request made after renewal applies to the next renewal date.
A verified organization owner can request the documented portable CSV archive before access is ended; the private download expires after seven days and excludes authentication secrets, public tokens, internal delivery state, and logo bytes. Cancellation does not immediately delete organization data, issued financial records, payment history, activity history, or restricted backups. See the Cancellation and data-export summary.
11. Service limitations
Customers are responsible for reviewing important records and maintaining appropriate business procedures before relying on BayLedger output. BayLedger is provided on an “as available” basis and does not promise uninterrupted or error-free operation. To the extent permitted by law, Magoffin Development Solutions Inc. is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data arising from use of the service.
These terms are governed by the laws of Ontario and the applicable laws of Canada. The parties will first try in good faith to resolve a dispute by contacting each other. Any proceeding that cannot be resolved informally must be brought in the courts located in Ontario, unless applicable law requires otherwise.
